Terms of Service — VeriNear

Please read these Terms of Service carefully before using VeriNear. By creating an account or using the App, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and VeriNear ("we," "our," or "us") governing your use of the VeriNear mobile application and related services (collectively, the "Service"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 13 years old to use VeriNear. By using the Service, you represent that you meet this requirement. If you are using VeriNear on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Your Account

You may sign in to VeriNear using your Google or Apple account. You are responsible for all activity that occurs under your account. You agree to:

Provide accurate information when setting up your profile.
Keep your login credentials secure and not share them.
Notify us immediately at support@verinear.app if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Reviews

VeriNear allows signed-in users to leave star ratings and written reviews for businesses and events listed on the platform. By submitting a review, you agree that:

Your review reflects your genuine, first-hand experience.
Your review does not contain false, defamatory, or misleading information.
Your review does not include personal attacks, hate speech, or discriminatory language.
You will not post fake reviews, reviews for places you have not visited, or reviews written in exchange for compensation.
One review per user per location. You may update your review at any time by editing or deleting it.

We reserve the right to remove reviews that violate these guidelines, without prior notice.

5. Business and Event Listings

Business and event owners may claim or create listings on VeriNear. By submitting a listing, you agree that:

You are authorized to represent the business or event being listed.
All information you provide (name, address, hours, description, contact details) is accurate and current.
You will promptly update your listing if information changes.
Your listing does not infringe on any third-party intellectual property rights.
You will not create duplicate listings for the same business or event.

VeriNear reserves the right to remove or modify listings that contain inaccurate, misleading, or inappropriate content.

6. Featured Listing Subscriptions

Business and event owners may purchase a Featured Listing subscription for $25.00 USD per month ("Subscription"). The Subscription gives your listing priority placement in VeriNear search results and a Featured badge. By purchasing a Subscription, you agree that:

Billing is recurring monthly and will continue until you cancel.
You may cancel at any time through your account or by contacting support@verinear.app. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days.
All payments are processed by Stripe, Inc. and subject to Stripe's terms. VeriNear does not store your payment card details.
VeriNear reserves the right to change Subscription pricing with 30 days' notice. Continued use after the price change constitutes acceptance of the new price.

7. Prohibited Conduct

You agree not to:

Use the Service for any unlawful purpose or in violation of these Terms.
Scrape, copy, or systematically download content from VeriNear without written permission.
Attempt to gain unauthorized access to any part of the Service or its infrastructure.
Use automated bots, scripts, or tools to interact with the Service.
Interfere with or disrupt the integrity or performance of the Service.
Impersonate another person or business.
Upload or transmit viruses, malware, or any other malicious code.

8. Third-Party Content and Google Attribution

VeriNear displays business information and ratings from Google's Places API. This data is provided by Google LLC and is subject to Google's Terms of Service. Google ratings shown in the App are clearly labeled "Google Rating" and are never combined or averaged with VeriNear's own native ratings.

VeriNear is not responsible for the accuracy, completeness, or timeliness of third-party data including Google ratings, review counts, business hours, or addresses sourced from Google's API.

9. Intellectual Property

The VeriNear name, logo, and all original content created by VeriNear (app design, interface elements, original text) are the property of VeriNear and protected by applicable intellectual property laws.

By submitting reviews or listing content, you grant VeriNear a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that content within the Service. You retain ownership of what you submit.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

VeriNear does not guarantee the accuracy, completeness, or usefulness of any business listing, review, or rating displayed in the App. We do not endorse any business, event, or product listed on VeriNear.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VERINEAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you through the App. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the courts located in California.
